1. Subject of the Contract
1.1. The Contractor provides, and the Customer accepts and pays for, the following services (the "Services"):
1.1.1. Placement of the Customer's Equipment at the Technical Node in a standard 19" rack in the space (number of units) set out in the Order, its connection to the power supply network and the provision of electric current at 220 V.
1.1.2. Internet access for the Equipment via Ethernet under the Internet Plan chosen in the Order, with no separate charge for the port: a 100 Mbit/s port for Internet Plans up to 100 Mbit/s, and a 1 Gbit/s port for Internet Plans from 200 Mbit/s and for rack plans.
1.1.3. Provision of real, routable and unfiltered IP addresses to the Equipment in the number set out in the Order.
1.1.4. Basic monitoring included in the plan and consulting services necessary for the use of the Services.
1.2. Additional Services are provided on the basis of the Order or of the Customer's request sent by e-mail and are charged according to the Price List.
1.3. The quality parameters of the Services are set out in the SLA. The handover of the Equipment and any physical work on it are governed by the Access Policy.
2. Ordering and Conclusion of the Contract
2.1. This Offer is the Contractor's public proposal under Art. 641 of the Civil Code of Ukraine to conclude the Contract on the terms set out herein. Before ordering the Services, the Customer must read this Offer, the Price List, the SLA, the Access Policy and the Rules.
2.2. Request. The Customer may request the Services through the order form on the Website ("Request colocation"), by e-mail to colocation@mclaut.com or by telephone (0472) 520-520 or 097 0 520 520, 093 0 520 520, 096 0 520 520, 050 0 520 520, 063 0 520 520, 073 0 520 520, 099 0 520 520. The request states the desired configuration (plan, equipment height, expected power consumption, Internet Plan, number of IP addresses, Additional Services, annual or short-term placement) and the Customer's contact details. The results of the calculator on the Website are indicative: the price is fixed by the Order, and electricity is charged according to the metering data.
2.3. Confirmation. The request is not Acceptance and creates no obligations for either Party. Because space at the Technical Node is limited, the Contractor checks the availability of space and the technical feasibility and, within 3 (three) working days of receiving the request, sends the Customer by e-mail either the Order with an invoice for the first payment, or a reasoned refusal. The Contractor may ask the Customer to provide additional information about the Equipment.
2.4. Acceptance. Acceptance of the Offer under Art. 642 of the Civil Code of Ukraine is any of the following actions of the Customer: (a) signing the Order, including with a qualified electronic signature or by exchanging signed scanned copies by e-mail; (b) paying an invoice issued by the Contractor for the Services; (c) for Existing Customers, paying any invoice issued by the Contractor after the publication of this Offer for Services provided from its effective date (Section 14), provided that the Contractor has previously sent that Customer the notice under clause 14.2.
2.5. The Contract concluded by Acceptance is legally binding under Art. 633 of the Civil Code of Ukraine and is equivalent to a contract signed by the Parties in writing. At the request of either Party, the Parties sign the Contract and/or the Order in writing.
2.6. The Customer is responsible for the accuracy and completeness of the details and contact data provided to the Contractor.
2.7. Non-acceptance. An Existing Customer who has not given Acceptance is deemed to have declined to receive the Services on the terms of this Offer. In that case the provision of services to it ends at the end of the last period it has paid for, but not before the effective date of this Offer, and the Equipment is returned to the Customer in accordance with clause 4.14 and Section 6 of the Access Policy. Actual use of the services after the effective date of this Offer without Acceptance does not release the Customer from paying for them at the prices of the Price List and under clauses 4.6 and 4.7.
3. Provision of the Services
3.1. The Customer's Equipment is handed over at the Contractor's office, where it is inspected, sealed and accepted under a handover protocol in accordance with the Access Policy. The Order lists the Equipment: name, type, quantity, size in units, technical characteristics, technical condition and the agreed power consumption in watts. The agreed power is not a fixed limit per plan: it is set for each Order within the capacity available at the Technical Node, and the Contractor may refuse Equipment whose consumption exceeds that capacity (clause 5.3.4). The Equipment must meet the requirements of the Access Policy and remains the property of the Customer.
3.2. Installation. Installation of the Equipment and all work in the rack are carried out by the Contractor's staff. Installation is free of charge if the Contract is concluded for a term of 12 (twelve) months. For short-term placement, the one-time installation fee stated in the Price List ("setup without annual contract") is charged. If the Customer terminates the Contract before 12 (twelve) months have passed since the start of the Services, the Customer pays the installation fee according to the Price List, unless the Contract is terminated because of a breach by the Contractor or under clause 4.12. The Equipment of Existing Customers is deemed to have been installed before Acceptance: no installation fee under this clause is charged to them, and the Contract with them is deemed concluded for a term of 12 (twelve) months.
3.3. The provision of the Services is documented by acts of acceptance of works (provision of services), which the Contractor draws up monthly and sends to the Customer by the 10th day of the month following the Reporting Month, including by e-mail.
3.4. If the Customer disagrees with an act, it sends the Contractor a reasoned refusal by the 15th day of the month following the Reporting Month. If no reasoned refusal is received within this period, the act is deemed accepted by the Customer.
3.5. The Technical Node is closed to Customers: all work on the Equipment there is carried out by the Contractor's staff. Physical changes to the Equipment are made either by the Contractor's staff on the Customer's written instruction, charged according to the Price List, or by the Customer at the Contractor's office after the Equipment has been removed, in both cases in accordance with the Access Policy. Work that does not require physical access is performed by the Customer remotely.
3.6. In the event of a complete server replacement, the Customer may install an additional server to transfer data and must remove the previous server within 7 (seven) calendar days. For each day beyond this period, including an incomplete day, the Customer pays double the daily Subscription Fee (Subscription Fee / 30 × 2).
3.7. The Contractor may carry out planned maintenance of Technical Node equipment with an interruption of the Services no more than once a month and for no longer than 2 (two) hours, notifying the Customer by e-mail at least 3 (three) working days in advance. Such interruptions are not a breach of the Contract. The other service levels and the consequences of unavailability are set out in the SLA.
3.8. Reservation and start of the Services. From the date of Acceptance, the Contractor reserves for the Customer the space, the network port, the IP addresses and the power capacity set out in the Order, and does not offer them to other customers. The Customer hands over the Equipment within 30 (thirty) calendar days of Acceptance, unless the Order states another date (the "Installation Period"). The Services start, and the Subscription Fee accrues, from the earlier of: (a) the day the Equipment is installed at the Technical Node; or (b) the day after the Installation Period ends, whether or not the Equipment has been handed over. The Internet Plan fee and the fees for monthly Additional Services accrue from the day the Equipment is installed. Electricity and generator power (clauses 4.6 and 4.7) are charged only for Equipment actually installed. For the first month, the fees are calculated pro rata to the number of days from the start of the Services. For Existing Customers the Contract enters into force, and the Services under it start, on the effective date of this Offer regardless of the date of Acceptance; clauses 3.8 and 3.9 do not apply to them as regards the Installation Period.
3.9. If the Equipment has not been handed over within 60 (sixty) calendar days after the Installation Period ends, the Contractor may cancel the reservation and terminate the Contract by notifying the Customer by e-mail, without the notice period in clause 9.3. The Subscription Fee accrued up to the date of termination remains payable; the installation fee under clause 3.2 is not charged.
4. Price of the Services and Payment
4.1. The price of the Services for the Reporting Month consists of: (a) the Subscription Fee; (b) the Internet Plan fee; (c) the fees for Additional Services; (d) the charge for powering the Customer's Equipment from the grid, calculated on the electricity consumed by the Equipment (clause 4.6); (e) the cost of powering the Customer's Equipment from the DGS (clause 4.7). The Subscription Fee does not include the amounts in (b) to (e).
4.2. Price List. The Subscription Fee, the Internet Plan fee and the fees for monthly Additional Services are set in the Order according to the Price List in effect on the date of the Order. Where the Parties have agreed an individual price in a signed Order, the Order prevails. Where no Order has been signed, the prices of the Price List apply to the Equipment actually placed, the Additional Services actually provided and the Internet Plan. One-time work is charged according to the Price List in effect on the day the work is performed. Rack plans (quarter, half and full rack) are priced individually in the Order.
4.3. The Subscription Fee, the Internet Plan fee and the fees for monthly Additional Services are paid 100% in advance. By the 25th day of each month the Contractor issues an invoice for the following month; the Customer pays it within 5 (five) banking days, but no later than the 1st day of the month being paid for. Non-receipt of an invoice does not release the Customer from payment if the Customer took no steps to obtain it.
4.4. All payments are made in Ukrainian hryvnia by bank transfer to the Contractor's current account. Invoices, acts and calculations may be sent by e-mail.
4.5. Metering. The electricity consumed by each server of the Customer is measured by metering devices (an electricity meter or a power distribution unit with metering) installed by the Contractor on the power line of each server. The Contractor records the readings as at 00:00 on the first day of each month. At the Customer's request, the Contractor provides the metering data for the Reporting Month.
4.6. Electricity. The cost of electricity for the Reporting Month is calculated as E = (Q − Qg) × Pe × K, where: E – charge for grid power, UAH; Q – total electricity consumed by all servers of the Customer in the Reporting Month according to the metering data, kWh; Qg – electricity consumed by the Customer's Equipment during DGS operation (clause 4.7), kWh; Pe – the actual weighted average price of 1 kWh (including distribution and transmission charges) paid by the Contractor to its electricity supplier for the Reporting Month according to the supplier's invoices, UAH/kWh; K – Coefficient K. The charge for power supply is a component of the price of the equipment placement Services (clause 1.1.1), is determined on the basis of the actual consumption of the Equipment and is not a sale (supply) of electricity to the Customer; the Contractor is not the Customer's electricity supplier.
4.7. Generator power. The cost of powering the Customer's Equipment from the DGS for the Reporting Month is calculated as G = Pavg × T × Cg × K, where Qg = Pavg × T; G – cost of generator power, UAH; Pavg – the average power consumption of the Customer's Equipment in the Reporting Month, kW, equal to Q divided by the number of hours in the Reporting Month; T – the total number of hours in the Reporting Month during which the DGS supplied power to the Technical Node because grid supply was unavailable (scheduled, emergency or other outages), according to the DGS operating log; Cg – the Contractor's cost of producing 1 kWh with the DGS in the Reporting Month, UAH/kWh, equal to the cost of the diesel fuel used by the DGS plus the DGS upkeep costs (maintenance, lubricants, filters, repairs) for the Reporting Month, divided by the total electricity produced by the DGS in that month; K – Coefficient K. The charge applies from the first hour of DGS operation; no hours of DGS operation are free of charge.
4.8. Consumption invoices. The Contractor issues the invoice for the amounts under clauses 4.6 and 4.7 together with the act for the Reporting Month within the period set in clause 3.3. A calculation stating the metering readings and the values of Q, Pavg, T, Qg, Pe, Cg and K is attached. The Customer pays the invoice within 5 (five) banking days of receipt.
4.9. Supporting data. At the Customer's written request sent within the period set in clause 3.4, the Contractor provides extracts from documents confirming Pe, T and Cg for the relevant Reporting Month, to the extent that this does not disclose the Contractor's trade secrets.
4.10. Metering failure. If a metering device fails or its data is unavailable, Q for the period concerned is determined from the average daily consumption of the Customer's Equipment in the last full Reporting Month with correct metering data.
4.11. Taxes. The Contractor is registered as a VAT payer. Prices and amounts under the Contract (Subscription Fee, Internet Plan fee, Additional Services, cost of electricity and of DGS power) are stated net of VAT; VAT is charged in addition at 20% in accordance with the legislation of Ukraine.
4.12. Price changes. The Contractor may change the Price List, the Subscription Fee and the Internet Plan fee, Coefficient K and the method of calculating the price of the Services by notifying the Customer at least 15 (fifteen) calendar days before the changes take effect, by e-mail and by publication on the Website. If the Customer disagrees with the changes, it may terminate the Contract by notifying the Contractor before the changes take effect, without paying the installation fee under clause 3.2 or any other additional costs (other than payment for Services actually provided). Use of the Services after that date constitutes the Customer's consent to the changes.
4.13. In the event of full or partial non-payment of an invoice within the set period, the Contractor may suspend the Services in whole or in part until the Customer fulfils its payment obligations.
4.14. Removal and storage. When the Contract ends (including termination for non-payment), the Customer collects the Equipment at the Contractor's office in accordance with Section 6 of the Access Policy within 7 (seven) calendar days of the date the Contract ends. If on the return date the Customer has overdue debt under the Contract, the Contractor may, under Articles 594–597 of the Civil Code of Ukraine, retain the Equipment until the debt is paid, notifying the Customer without delay by e-mail of the retention, the amount of the debt and the payment details. The Contractor releases the Equipment within 3 (three) working days after the funds paying off the debt are credited. For storage of the Equipment after that period or during retention, the Customer pays for each device the fee for "server storage outside the rack" according to the Price List for each month or part of a month of storage.
5. Rights and Obligations of the Parties
5.1. The Customer may: receive the Services after payment; receive information and consultations from the Contractor to the extent necessary to use the Services; hand over, change and receive back its Equipment in accordance with the Access Policy; receive the calculations under clauses 4.6–4.9; receive service credits under the SLA.
5.2. The Customer must:
5.2.1. Comply with the Rules, the Access Policy and the legislation of Ukraine.
5.2.2. Pay for the Services on time and in full.
5.2.3. Follow the instructions of the Contractor's specialists on the correct use of the Services and use only IP addresses provided by the Contractor.
5.2.4. Notify the Contractor within 5 (five) working days of any change in its details, location, telephone numbers and e-mail addresses.
5.2.5. Not place on the Equipment information that violates the legislation of Ukraine or the rights of third parties, promotes violence, terrorism or separatism, or incites hatred, and not use the Services for spam, cryptocurrency mining, network attacks or other unlawful activity.
5.3. The Contractor may:
5.3.1. Charge for the Services on the basis of its monitoring and metering systems.
5.3.2. Suspend the Services in whole or in part in the event of: non-payment; breach by the Customer of the Rules, the Access Policy or clause 5.2.5; failure to follow the recommendations of the Contractor's specialists; actions or technical faults of the Equipment that cause or may cause harm to the Contractor, other customers or the network; use of traffic transit software (proxy, VPN, etc.) on the server if incoming foreign or local traffic exceeds 30% of the corresponding outgoing traffic – until explanations are provided and the breach is remedied.
5.3.3. Send the Customer a request about any links with the russian federation, the republic of belarus and/or sanctioned persons, and suspend the Services if no answer, or an incomplete or inaccurate answer, is given within 7 (seven) days of sending the request to the Customer's e-mail.
5.3.4. Refuse to place Equipment whose technical parameters do not meet the placement conditions of the Technical Node.
5.4. The Contractor must:
5.4.1. Maintain at the Technical Node the conditions necessary for uninterrupted operation of the Equipment in accordance with the SLA: climate control and power supply, including backup power from the DGS and uninterruptible power supply systems.
5.4.2. Ensure correct operation of the network port to which the Equipment is connected, and take immediate steps to restore the Services if they are interrupted through the Contractor's fault.
5.4.3. Take all necessary measures to keep the Equipment safe and repair the Equipment at its own expense if it is proven in the established manner that it failed through the Contractor's fault.
5.4.4. Inform the Customer by e-mail of changes in the price of the Services under clause 4.12. The hours of DGS operation in the Reporting Month are stated in the calculation attached to the invoice (clause 4.8).
6. Liability
6.1. The Parties are liable for non-performance or improper performance of the Contract in accordance with the legislation of Ukraine and the Contract.
6.2. For late payment the Customer pays the Contractor a penalty equal to double the NBU discount rate in effect during the period of delay, on the overdue amount, for each day of delay.
6.3. The Contractor is not liable for: the operability of the Customer's Equipment and software, in the absence of a separate agreement; damage caused to the Customer or third parties as a result of using the Services; the content and reliability of the Customer's information or information transmitted or received through the Services; the operation of the Internet as a whole or of third-party communication channels; a decline in service quality for reasons beyond its control.
6.4. For unavailability of the Services, the Customer is entitled to the service credits set out in the SLA, which are the sole compensation for such unavailability. The Contractor's total liability under the Contract for any month may not exceed the Subscription Fee for that month; lost profits and non-pecuniary damage are not compensated. The limits set in this clause do not apply to: (a) a wilful breach of its obligations by the Contractor (Art. 614(3) of the Civil Code of Ukraine); (b) loss of or damage to the Equipment through the Contractor's fault – in that case the Contractor compensates the documented cost of repairing the Equipment or, where repair is impossible, its residual market value, but no more than the monthly Subscription Fee for that Equipment.
6.5. The Contractor does not use the Customer's information for commercial purposes in any way. The Customer is liable for breaches of law committed using the Services and settles any third-party claims related to its use of the Services on its own. The Customer is liable for damage caused by its representatives at the Contractor's office.
6.6. Termination of the Contract does not release the Customer from paying for Services provided.
7. Dispute Resolution
7.1. All disputes are resolved by negotiation and, failing agreement, in court in accordance with the legislation of Ukraine. The Customer is not released from paying undisputed amounts pending resolution of a dispute.
8. Force Majeure
8.1. The Parties are released from liability for non-performance caused by force majeure: natural disasters, hostilities, missile and drone attacks, terrorist acts, blockades, mass unrest, changes in legislation, acts of state authorities, fire, flood, explosion and similar circumstances. The Contractor also treats DDoS attacks as force majeure, while reserving the right to take countermeasures. The occurrence of such circumstances is confirmed by a certificate of the Ukrainian Chamber of Commerce and Industry or by other proper evidence of their effect on the performance of the Contract. Force majeure does not release the Customer from paying for Services actually provided before or during such circumstances.
8.2. Scheduled and emergency outages of the public power grid are not force majeure: during such outages the Contractor powers the Technical Node from the DGS and the uninterruptible power supply systems and charges for this under clause 4.7.
8.3. The affected Party notifies the other Party of the start and end of such circumstances within 5 (five) calendar days; otherwise it loses the right to rely on them. If the circumstances last more than three months, either Party may terminate the Contract.
8.4. The Parties acknowledge that this Contract is concluded while a force majeure circumstance already exists, namely the military aggression of the russian federation against Ukraine, which was the ground for introducing martial law. Accordingly, the mere fact of the continuing military aggression of the russian federation against Ukraine, without a direct (immediate) effect on one of the Parties, does not entitle a Party to rely on it as a circumstance preventing the full or partial timely performance of its financial obligations to make payments under the Contract.
9. Term, Amendment and Termination
9.1. The Contract enters into force upon Acceptance and is valid for 1 (one) year, or for the short term stated in the Order. The annual Contract is automatically renewed for each following year unless either Party gives written notice of termination at least 30 (thirty) calendar days before the end of the term.
9.2. The Contractor may amend this Offer, the SLA, the Access Policy and the Rules by publishing the amendments on the Website and notifying the Customer by e-mail at least 15 (fifteen) calendar days before they take effect. Use of the Services after that date constitutes the Customer's consent to the amendments. If the Customer disagrees with the amendments, it may terminate the Contract in the manner set out in clause 4.12.
9.3. Either Party may terminate the Contract unilaterally with at least 30 (thirty) calendar days' written notice; clause 3.2 applies. The Contractor may also terminate the Contract in the event of non-payment, breach of clause 5.2.5, a court decision to seize the Equipment, or under clause 3.9.
10. Personal Data and Confidentiality
10.1. The Contractor processes the personal data of a Customer who is a natural person (individual entrepreneur) and of the Customer's representatives and Authorised Persons on the basis of points 3, 5 and 6 of part one of Article 11 of the Law of Ukraine "On Personal Data Protection" (conclusion and performance of a transaction; performance of duties imposed by law; the Contractor's legitimate interest) for the purpose of concluding and performing the Contract, settlements, record-keeping, compliance with the law and identification of Authorised Persons at handovers of the Equipment at the Contractor's office (Section 8 of the Access Policy). Personal data are processed for the term of the Contract and the period required by law and are not transferred to third parties except as provided by law. Data subjects have the rights set out in Article 8 of that Law. A Customer that is a legal entity (individual entrepreneur) warrants that it has informed its representatives and Authorised Persons of such processing, its purpose and their rights.
10.2. The Parties keep confidential the information received in connection with the Contract, except as required by law.
10.3. The Contractor has no access to the information stored or processed on the Equipment, does not process it and is not the controller or processor of any personal data that may be held on the Equipment. The Customer is responsible for the lawfulness of the processing of such information.
11. Notices
11.1. Notices, invoices, acts and calculations are sent to the e-mail address stated in the Order or the Customer's request, and to the Contractor at colocation@mclaut.com. A message sent to that address is deemed received on the day it is sent. Notices of termination may be sent by e-mail with a signed scanned copy or with a qualified electronic signature.
12. Final Provisions
12.1. A Party may transfer its rights and obligations under the Contract to another person by giving the other Party at least 30 (thirty) calendar days' written notice.
12.2. The following form an integral part of the Contract: Annex No. 1 – the Order (form); Annex No. 2 – the SLA; Annex No. 3 – the Access Policy; Annex No. 4 – the Rules; the Price List. In the event of any conflict, the Order prevails over the Annexes and this Offer, and the Annexes prevail over this Offer.
12.3. Eligible Customers. This Offer is addressed to legal entities and individual entrepreneurs (FOPs). Natural persons who are not entrepreneurs (consumers) receive the Services only under a separate written contract with the Contractor; the actions of such a person under clause 2.4 do not constitute Acceptance and do not create a Contract on the terms of this Offer, and any amount paid by such a person is refunded or, by agreement, credited against the written contract.
12.4. In all matters not covered by the Contract, the Parties are governed by the legislation of Ukraine. The Ukrainian version of this Offer prevails over translations.
